Terms of Service
1. Agreement to These Terms
These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "User") and Deal Sheet LLC ("Deal Sheet," "we," "us," or "our"). They govern your access to and use of the website located at godealsheet.com and any related pages, tools, and services we make available, including our online business-valuation estimate tool (collectively, the "Service").
By accessing or using the Service, and, in particular, by submitting information through our valuation form and checking the box indicating your agreement, you accept these Terms and our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.
2. Who May Use the Service
You may use the Service only if you are at least 18 years old, can form a legally binding contract, and are using it for legitimate business purposes, typically as an owner, officer, or authorized representative of a business you have authority to provide information about. By using the Service you represent that all of these are true. The Service is intended for users in the United States. We make no claim that the Service is appropriate or available for use outside the United States.
3. What the Service Is, and What It Is Not
3.1 The valuation estimate is an automated, informational estimate only.
The Service generates a free, rapid (approximately 60-second) indicative estimate of what a business might be worth, based on the information you provide and on patterns in real small- and mid-sized-business ("SMB") sale data. This estimate is provided for general informational purposes only.
3.2 The estimate is NOT any of the following.
You acknowledge and agree that the valuation estimate is not, and must not be relied upon as:
- a formal business appraisal, valuation opinion, or fairness opinion;
- an offer to buy, sell, or broker your business, or a solicitation of any offer;
- a guarantee, prediction, or promise of any sale price, transaction, deal, or outcome;
- financial, investment, accounting, tax, or legal advice; or
- a substitute for the independent professional advice of a licensed appraiser, accountant, attorney, broker, or financial advisor.
3.3 No warranty of accuracy.
The estimate is generated automatically from limited, self-reported inputs and from generalized market data. Actual business value depends on many factors the Service does not capture, and real transaction prices vary widely. We do not warrant that the estimate is accurate, complete, current, or suitable for any purpose. Different inputs, methods, or market conditions would produce different results.
3.4 Do not rely on the estimate for decisions.
You should not make, or refrain from making, any business, financial, legal, tax, or transactional decision in reliance on the estimate. Before taking any action, obtain independent advice from qualified professionals who can review your specific circumstances. Any reliance you place on the Service is strictly at your own risk.
4. Information You Provide; Accuracy
To use the valuation tool you will provide information about your business (for example, industry, revenue, profitability, location, and similar details) and your contact information (for example, name, email address, and phone number). You agree that the information you provide is accurate and complete to the best of your knowledge, and that you have the right to provide it. The quality of the estimate depends on the accuracy of your inputs; inaccurate inputs will produce an unreliable estimate. How we handle the information you provide is described in our Privacy Policy.
5. Marketing and Communications Consent
This Section 5 is important. Please read it carefully before submitting the valuation form.
5.1 Your consent to be contacted.
By submitting your information through the valuation form and checking the consent box, you expressly consent to being contacted by Deal Sheet, and by those acting on its behalf, at the email address, telephone number(s), and mailing address you provide, for marketing and deal-related purposes, including to deliver your estimate, discuss your business and potential transaction options, introduce you to prospective buyers or referral partners (see Section 6), and send related offers, follow-ups, and updates.
5.2 Email (CAN-SPAM).
You consent to receive commercial and transactional email from us. Every marketing email will identify Deal Sheet, include a valid postal address, and provide a clear way to unsubscribe. You may opt out of marketing email at any time by clicking the unsubscribe link in any such email or by contacting us at privacy@godealsheet.com. We will honor opt-out requests promptly. We may still send you non-marketing transactional or relationship messages (for example, a response to a request you make).
5.3 Telephone and text messages (TCPA).
By providing your telephone number and checking the consent box, you give your prior express written consent for Deal Sheet, and those acting on its behalf, to call and send text (SMS/MMS) messages to that number for marketing and deal-related purposes, including through the use of automated dialing technology and/or prerecorded or artificial voice messages.
- Consent is not a condition of purchase or of using the valuation tool.
- Message and data rates may apply. Message frequency varies.
- You can opt out of text messages at any time by replying STOP to any message; reply HELP for help. You may revoke consent to calls or texts at any time by replying STOP to any text message or by emailing us at privacy@godealsheet.com.
- We will not call or text you if your number is registered on a Do-Not-Call list except to the extent your express consent above permits.
5.4 Recordkeeping.
We retain records of the consent you provide (including the date, time, and the version of these Terms and the Privacy Policy you agreed to) as described in our Privacy Policy.
6. How Deal Sheet May Work With Your Opportunity ("Represent or Refer")
6.1 Two possible paths.
If, after you use the Service, there appears to be an opportunity to help you explore a sale or transaction, Deal Sheet may, in its sole and reasonable discretion, do either of the following:
- (a) Work the opportunity itself, for example, by preparing an anonymized profile of your business, introducing you to prospective buyers, and otherwise assisting with the process; or
- (b) Refer you to a third party, one or more independent M&A platforms, advisors, brokers, or marketplaces that may be better suited to your situation. Referral partners may include, among others, selected third-party M&A platforms, advisors, brokers, or marketplaces.
6.2 How we choose is discretionary and illustrative.
Which path we follow, if any, depends on factors such as the size, industry, and circumstances of your business and the interests of available buyers and partners. As a rough, illustrative guide only, smaller opportunities are more likely to be referred to a partner platform, and larger opportunities may be worked by Deal Sheet directly. This is a general illustration of how we may exercise our discretion; it is not a fixed rule, a threshold, a commitment, or a promise. We may decline to pursue any opportunity, may change our approach at any time, and are under no obligation to work your opportunity, refer you, or achieve any result.
6.3 Sharing your information as part of this process.
To pursue either path, you authorize us to share information about you and your business with prospective buyers, referral partners (which may include selected third-party M&A platforms, advisors, brokers, or marketplaces), and the service providers that support this process, as further described in our Privacy Policy. Where reasonably practical and appropriate, business-identifying details are shared with prospective buyers on an anonymized basis until you choose to proceed, but you should not assume confidentiality is guaranteed; do not submit information you are not willing to have shared for these purposes.
6.4 Compensation; no fiduciary or advisory relationship created.
Deal Sheet may receive fees, commissions, referral payments, or other compensation in connection with transactions it works on or referrals it makes (including from buyers, partners, or platforms such as those referenced above). The amount and form of any such compensation may vary.
Your use of the Service and any introduction or referral does not create any broker-client, advisory, agency, fiduciary, employment, partnership, or joint-venture relationship between you and Deal Sheet unless and until you and Deal Sheet (or a third party) enter into a separate, signed written agreement that expressly governs that relationship. These Terms alone do not engage Deal Sheet to sell your business or represent you in any transaction.
7. Acceptable Use
You agree not to:
- provide false, misleading, or unauthorized information, or information about a business you have no right to submit;
- use the Service for any unlawful purpose or in violation of these Terms;
- attempt to probe, scan, scrape, reverse-engineer, overload, or interfere with the Service or its underlying systems;
- introduce malware or attempt to gain unauthorized access to any account, system, or data; or
- use the Service to develop a competing product or to resell or redistribute the estimates or data.
We may suspend or terminate your access at any time for any reason, including a violation of these Terms, without notice or liability.
8. Intellectual Property
The Service, including its software, text, design, logos, the "Deal Sheet" name and marks, and the format and presentation of the estimates, is owned by Deal Sheet or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own internal, non-commercial evaluation of your business. You retain ownership of the underlying business information you submit; by submitting it, you grant us the rights described in the Privacy Policy to use it to provide the Service and pursue the purposes described in Section 6.
9. Third-Party Services and Links
The Service may reference or link to third-party platforms, advisors, buyers, or websites (including referral partners such as those referenced in Section 6). Those third parties are independent of Deal Sheet. We do not control and are not responsible for their conduct, services, terms, privacy practices, fees, or any transaction you may enter into with them. Any dealings you have with a third party are solely between you and that third party.
10. Disclaimer of Warranties
THE SERVICE AND ALL CONTENT AND ESTIMATES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, DEAL SHEET DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ANY ESTIMATE WILL BE ACCURATE, RELIABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE. WITHOUT LIMITING THE FOREGOING, DEAL SHEET MAKES NO WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF ANY VALUATION ESTIMATE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DEAL SHEET AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY ESTIMATE, OR ANY DECISION YOU MAKE IN RELIANCE ON THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER THEORY, AND WHETHER OR NOT DEAL SHEET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL DEAL SHEET'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. In that case, our liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Deal Sheet and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) information you submit, including any inaccuracy or any claim that you lacked authority to submit it; or (c) your violation of these Terms or of any law or third-party right.
13. Governing Law; Dispute Resolution; Venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable consumer/commercial rules, seated in New Castle County, Delaware, except that either party may bring a claim in small-claims court. To the extent permitted by law, you and Deal Sheet waive any right to a jury trial and to participate in a class or representative action; disputes will be resolved only on an individual basis.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the changes, stop using the Service.
15. Termination
We may suspend or discontinue all or part of the Service, or your access to it, at any time. Sections that by their nature should survive termination, including Sections 3, 5 (with respect to consents you have given and not revoked), 6.4, 8, and 10 through 17, survive.
16. General
- Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and Deal Sheet regarding the Service and supersede any prior understandings on that subject. They do not, by themselves, create any engagement to sell your business (see Section 6.4).
- Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions remain in full force.
- No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- No Third-Party Beneficiaries. These Terms do not create rights in anyone other than you and Deal Sheet.
